Job Description:

Nextracker Inc. is seeking an experienced and motivated Sr. Director of Compliance to work from our offices in Nashville, TN. In this role, you will primarily be responsible for building and overseeing Nextracker’s compliance function, ensuring compliance with laws, regulations, and related internal policies and procedures.

The position will require reviewing standards and monitoring a framework and procedures to ensure that the compliance programs throughout the organization are effective and efficient in identifying, preventing, detecting, and correcting noncompliance with applicable laws and regulations as they evolve. This role requires an individual well-versed in regulatory laws and operational compliance practices, including those related to privacy, safety, trade, cybersecurity, employment, investigations, and risk assessments.

The Sr. Director of Compliance will report directly to the Chief Ethics and Compliance Officer (“CECO”) and will assist the CECO in informing the Board about important issues and material violations.

Required Competencies:

The Sr. Director of Compliance will:

  • Assist the organization in effectively and efficiently complying with laws and regulations.

  • Identify and research statutory and regulatory requirements that may impact our business, evaluating and summarizing their potential effects for communication to business units, and effectively communicating any necessary actions to ensure compliance.

  • Plan, organize, and execute day-to-day operational compliance activities, including complaints, inquiries, state and product filings, licensing, marketing and advertising reviews, and serve as the liaison for both our legal department and outside counsel.

  • Be a champion for compliance and help develop and maintain an effective compliance framework for our growing business team.

  • Work with the business teams and our leadership to reasonably and effectively remediate issues identified through inquiries, complaints, litigation, and other external inputs, proactively developing and implementing appropriate follow-up procedures to prevent similar occurrences.

  • Be proactive in identifying compliance requirements affecting our organization.

  • Write the necessary process documentation for the organization to reasonably comply with compliance requirements affecting our business.

  • Evaluate and test Nextracker’s compliance with regulatory requirements to identify deficiencies and advise the business teams on reasonable strategies for effective resolution of such deficiencies.

  • Develop, maintain, and update an ongoing annual organization-wide compliance and governance risk assessment that provides a compliance report card to the organization’s senior leadership and Board.

  • Assist the CECO in running an efficient and effective Compliance Council, interfacing with the subject matter experts represented on the Council.

  • Perform a best-in-class annual Compliance Risk Assessment and assist the CECO in presenting this report to the company’s Board of Directors.

  • Perform the role in a manner that balances regulatory requirements, risk mitigation, and business objectives.

Position Requirements:

  • J.D. degree and active membership in at least one U.S. state bar.

  • 5+ years of legal experience, including work at a law firm and/or in-house, in a role directly managing key aspects of a compliance program.

  • Strong experience in designing, implementing, and evolving comprehensive compliance frameworks to meet organizational and regulatory requirements.

  • Extensive experience leading compliance efforts in mid-to-large public organizations, with a deep understanding of the complexities and challenges at the senior leadership level.

  • Excellent communication skills, with the ability to clearly present complex compliance matters to the Board, C-suite, and senior leadership.

  • A self-starter with proven ability to take initiative, work independently, and drive compliance strategies from conception to execution.
